Black Innovation Alliance Terms of Use
1) Acceptance of Terms
These Terms of Use (these “Terms”) govern access to and use of the websites, applications, assessments, data systems, services, and programs operated by Black Innovation Alliance, Inc. (“BIA,” “we,” “our,” or “us”). These Terms apply to all individuals, organizations, and entities that access or use the platform, including participants in programs such as Source Code and any other current or future programs offered by BIA.
By accessing or using the platform, creating an account, submitting information, or participating in any BIA program, you agree to be bound by these Terms and any policies incorporated herein by reference, including the Privacy Policy. If you do not agree to these Terms, you may not access or use the services.
BIA reserves the right to update or modify these Terms at any time. Continued use of the platform following the posting of updated Terms constitutes acceptance of those modifications.
2) Description of Services
BIA provides a digital platform designed to support entrepreneurs, organizations, and ecosystem partners through assessments, educational programming, peer learning environments, research tools, data insights, and strategic resources. Services may include, but are not limited to, digital assessments, diagnostic tools, program participation opportunities, advisory resources, data analytics systems, and ecosystem intelligence reporting.
Programs offered through the platform may include initiatives such as Source Code, which may involve assessments, tiered participation environments, facilitated peer discussion groups, learning resources, and ecosystem data reporting. These Terms apply broadly to all services provided by BIA regardless of program name or structure.
BIA reserves the right to modify, suspend, or discontinue any aspect of the services at any time without notice or liability.
3) Eligibility and User Representations
By accessing or using the services, you represent and warrant that you are legally capable of entering into binding agreements and that all information you provide to BIA is truthful, accurate, and complete. You further agree that you will comply with all applicable laws and regulations in connection with your use of the platform.
Participation in certain programs or services may require additional agreements, waivers, or participation terms. In such cases, those agreements will supplement these Terms.
4) User Accounts and Security
Certain features of the platform may require users to create accounts or provide identifying information. Users are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their accounts. Users agree to take reasonable steps to safeguard account information, including the use of strong passwords and secure authentication practices.
BIA may implement technical and administrative security measures designed to protect user accounts and platform integrity. However, users acknowledge that no digital system can be guaranteed to be completely secure, and BIA shall not be liable for unauthorized access resulting from compromised credentials or external security breaches.
5) Acceptable Use of the Platform
Users agree to use the platform solely for lawful purposes and in a manner consistent with these Terms. Users may not interfere with or disrupt the functionality of the platform, attempt to gain unauthorized access to systems or data, reverse engineer or decompile platform technologies, or misuse the services in ways that could harm BIA, other users, or the broader ecosystem.
Users also agree to maintain respectful and professional conduct in any collaborative or peer learning environments facilitated through BIA programs. BIA reserves the right to remove users from programs or restrict access to services if conduct violates these Terms or undermines the integrity of the platform.
6) Intellectual Property Rights
All content, materials, software, and technologies associated with the platform are the property of BIA or its licensors and are protected by applicable intellectual property laws. This includes, without limitation, software code, algorithms, proprietary scoring methodologies, data models, frameworks, assessment instruments, training materials, user interface design, documentation, and other proprietary content.
Participation in BIA services does not grant users ownership rights in these materials. Users are granted only a limited, revocable, non-exclusive license to access and use the platform for its intended purposes. Users may not reproduce, distribute, publicly display, modify, or create derivative works based on BIA intellectual property without prior written permission.
BIA may also maintain trade secrets related to its algorithms, assessment frameworks, ecosystem intelligence systems, matching logic, and internal methodologies. Users agree not to attempt to access, disclose, or exploit such confidential information.
7) Ownership of User Data and License Grant
Entrepreneurs and other users who use BIA’s services, programs, or platforms, including without limitation programs such as Source Code and any associated platforms, as well as any future offerings of the organization (collectively, the “Services”), retain ownership of the information, data, and content that they submit to the platform, including, but not limited to, business information, assessment responses, operational metrics, survey responses, and other submitted materials (“User Data”).
Although users retain ownership of their User Data, by submitting User Data through the Services, each user grants BIA a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to collect, store, process, analyze, reproduce, modify, adapt, publish, distribute, display, and otherwise use the User Data for any lawful business purpose related to the operation, improvement, and expansion of BIA’s programs, platforms, and ecosystem initiatives.
This license includes, without limitation, the right for BIA to:
- operate and administer the Services;
- analyze and evaluate entrepreneur participation, performance, and ecosystem trends;
- develop research, insights, reports, and ecosystem intelligence products;
- create statistical analyses, benchmarking tools, and program evaluation frameworks;
- generate aggregated, randomized, and anonymized datasets;
- share ecosystem insights and aggregated reports with partners, funders, research institutions, and other stakeholders;
- commercialize aggregated or anonymized data products;
- develop and improve analytics models, scoring methodologies, and platform technologies;
- process submitted data through automated analytical tools, including machine learning and artificial intelligence systems;
- use the data to design, refine, or expand future programs, services, and technology systems.
Users acknowledge and agree that this license is necessary for BIA to operate its platforms, generate ecosystem intelligence, support funders and partners, and advance its mission.
BIA will not sell or disclose personally identifiable individual-level data without user consent unless required by law. However, BIA may freely use and distribute aggregated, anonymized, or randomized datasets derived from User Data.\
8) Aggregated and Anonymized Data
BIA may generate aggregated, anonymized, or randomized datasets derived from user-submitted information. These datasets remove personal identifiers and are designed to reflect trends, patterns, or insights across groups of participants rather than individual users.
Such datasets may be used for ecosystem reporting, academic research, policy analysis, program evaluation, or other analytical purposes. BIA may share or sell aggregated and anonymized datasets to partners, funders, research institutions, or other stakeholders to support ecosystem development initiatives.
BIA will not sell personally identifiable individual-level data without express consent.
9) Assessments and Advisory Disclaimer
Assessments, insights, analytics, and other outputs provided through the platform are intended for informational and educational purposes only. These outputs do not constitute financial, legal, investment, or professional advice, nor do they certify business readiness, investment viability, or organizational performance.
Users acknowledge that decisions made based on platform insights remain their sole responsibility.
10.) Confidentiality and Participant Interactions
Certain programs offered through the platform may involve peer discussions, collaborative learning environments, or facilitated group interactions. Users agree to respect the confidentiality of other participants and to refrain from disclosing proprietary or sensitive information shared within such environments.
BIA may establish additional participation guidelines for specific programs, including restrictions on recording sessions, redistributing materials, or disclosing confidential discussions.
11) Platform Security
BIA maintains reasonable technical and administrative safeguards designed to protect the security and integrity of its systems and data. These safeguards may include encryption of data in transit, role-based access controls, authentication protocols, and monitoring systems.
Despite these measures, users acknowledge that no digital infrastructure can guarantee absolute security and agree that BIA shall not be responsible for damages resulting from unauthorized access, cyberattacks, or other security incidents beyond its reasonable control.
12) Termination of Access
BIA reserves the right to suspend or terminate user access to the platform at its discretion if users violate these Terms, misuse the services, or engage in conduct that may harm BIA or other participants.
Upon termination, users must immediately cease use of the platform and any licenses granted under these Terms will automatically terminate.
13) Limitation of Liability
To the fullest extent permitted by law, BIA shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the use of the platform. This includes damages related to lost profits, lost data, business interruption, or reliance on platform insights.
In no event shall BIA’s total liability exceed the amount paid by the user for services within the twelve months preceding the claim.
14) Indemnification
Users agree to indemnify and hold harmless BIA and its affiliates, officers, employees, and partners from any claims, damages, or liabilities arising from misuse of the platform, violation of these Terms, or violation of applicable laws.
15) Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Georgia, without regard to conflicts of laws principles of Georgia or any other jurisdiction.
